1. Acceptance of Terms

Welcome to CopyCated. These Terms of Service ("Terms") govern your access to and use of the CopyCated platform, website, and services (collectively, the "Service"), operated by Smooth Calc LLC ("CopyCated," "we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

2. Description of Service

CopyCated is a multi-vendor marketplace platform that enables developers ("Sellers") to monetize their GitHub repositories by selling access to buyers ("Buyers"). The platform facilitates:

  • Store creation and management for sellers
  • Product listings for GitHub repositories
  • Payment processing via Stripe Connect
  • Automated GitHub repository access management
  • Transaction tracking and analytics

3. User Accounts

3.1 Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities that occur under your account

3.2 Account Limitations

Each user may create only one store on the platform. You must be at least 18 years old to create an account and use the Service.

3.3 Account Termination

You may close your account at any time. We reserve the right to suspend or terminate your account if you violate these Terms.

4. Seller Terms

4.1 Store Creation

As a seller, you may create one store on CopyCated to list your GitHub repositories for sale. Operating a store requires an active subscription as detailed in Section 4.3. You are responsible for:

  • Setting up your store profile with accurate information
  • Creating and managing your product listings
  • Setting prices for your products
  • Maintaining the quality and availability of your repositories
  • Maintaining an active subscription to operate your store

4.2 Product Listings

When listing a GitHub repository for sale, you represent and warrant that:

  • You own or have the necessary rights to the repository and its contents
  • Your listing information is accurate and not misleading
  • The repository does not violate any third-party intellectual property rights
  • The repository does not contain malicious code, malware, or prohibited content
  • You will fulfill purchases by granting repository access to buyers

4.3 Subscription Fees

To operate a store on CopyCated, sellers must maintain an active subscription. By subscribing:

  • You agree to pay the monthly or annual subscription fee as displayed during store setup
  • Your subscription will automatically renew unless canceled
  • If your subscription lapses, your store and product listings may be deactivated
  • Subscription fees are non-refundable except as required by law

Subscription Fee Changes: CopyCated reserves the right to modify subscription fees at any time. We will provide at least 30 days' notice of any subscription fee increases. Continued operation of your store after a subscription fee change constitutes acceptance of the updated subscription fee.

4.4 Stripe Connect Requirement

To receive payments, sellers must connect a Stripe account through Stripe Connect. By connecting your Stripe account:

  • You agree to Stripe's terms of service and connected account agreement
  • You authorize CopyCated to facilitate payments on your behalf
  • You are responsible for maintaining accurate payout information
  • You are the merchant of record for your sales and responsible for customer support, refunds, disputes, and chargebacks
  • You are responsible for determining, collecting (if applicable), reporting, and remitting any taxes related to your sales

4.5 Pricing and Payments

Sellers have full control over their product pricing. When a sale occurs:

  • The buyer's payment is processed through Stripe as a direct charge on the seller's connected Stripe account
  • Stripe pays out funds to the seller according to the seller's Stripe payout settings and schedule
  • CopyCated does not receive, hold, or disburse product sale proceeds
  • Stripe processing fees and other fees charged by Stripe are the seller's responsibility
  • CopyCated does not charge platform, application, or transaction fees on product sales

4.6 Seller Responsibilities

As a seller, you agree to:

  • Respond to buyer inquiries in a timely manner
  • Maintain your repositories and ensure they remain accessible to buyers
  • Comply with all applicable laws and regulations
  • Handle any disputes with buyers professionally
  • Not engage in fraudulent or deceptive practices

5. Buyer Terms

5.1 Purchases

When you purchase access to a repository on CopyCated:

  • You pay the listed price plus any applicable taxes
  • Payment is processed securely through Stripe
  • After purchase, you request access from your Purchases page by providing your GitHub username
  • Once requested, a GitHub invitation is sent to the GitHub account you provided (you must accept it to gain access)
  • Invitation delivery is typically quick but may take up to 24 hours

5.2 Refund Policy

All sales are final. Due to the nature of digital products and repository access provisioning, we do not offer refunds except:

  • If the seller fails to provide access within a reasonable timeframe
  • If the repository materially differs from its description
  • As required by applicable law

Refund requests must be submitted within 7 days of purchase and are evaluated on a case-by-case basis.

5.3 Repository Access

Upon purchasing access to a repository:

  • You initiate the access request from your Purchases page by providing your GitHub username
  • We send a GitHub repository invitation to the GitHub account you provided (GitHub may also email you)
  • You must accept the invitation through GitHub
  • Access is granted for your GitHub account only and is non-transferable
  • You may not redistribute, resell, or share repository contents without the seller's permission

5.4 Buyer Responsibilities

As a buyer, you agree to:

  • Use purchased repositories in accordance with their licenses
  • Respect the intellectual property rights of sellers
  • Not use purchased code for prohibited purposes
  • Report any issues with repositories or sellers to CopyCated

6. Prohibited Uses

You may not use the Service to:

  • List, sell, or distribute illegal content or malicious code
  • Violate any third-party intellectual property rights
  • Engage in fraud, misrepresentation, or deceptive practices
  • Harass, abuse, or harm other users
  • Distribute malware, viruses, or other harmful software
  • Attempt to manipulate prices, ratings, or rankings
  • Scrape, data mine, or extract data from the platform without permission
  • Interfere with or disrupt the Service or its servers
  • Circumvent security measures or access restrictions
  • Use the Service for any unlawful purpose

7. Intellectual Property

7.1 Platform Ownership

The CopyCated platform, including its design, code, features, and branding, is owned by Smooth Calc LLC. You may not copy, modify, distribute, or create derivative works based on our platform without permission.

7.2 User Content

You retain ownership of any repositories, code, or content you list on CopyCated. By listing products on our platform, you grant us a limited license to:

  • Display your product listings on the platform
  • Use repository names and descriptions for marketing purposes
  • Show your store information publicly

7.3 Copyright Infringement

We respect intellectual property rights. If you believe that content on CopyCated infringes your copyright, please contact us at hey@smoothcalc.com with:

  • A description of the copyrighted work
  • The location of the infringing material
  • Your contact information
  • A statement of good faith belief that the use is unauthorized
  • A statement that the information is accurate and you are authorized to act on behalf of the copyright owner

8. Payment Terms

8.1 Payment Processing

All payments are processed through Stripe. You agree to comply with Stripe's terms of service. We are not responsible for any payment processing errors or issues caused by Stripe.

For product sales, CopyCated uses Stripe Connect so that Checkout Sessions and charges are created on the seller's connected Stripe account (a "direct charge"). The seller, not CopyCated, is the merchant of record for those sales. CopyCated does not act as a payment intermediary and does not receive, hold, or disburse product sale proceeds.

8.2 Subscription Fees

CopyCated charges sellers a recurring subscription fee to operate a store, as detailed in Section 4.3.

CopyCated does not charge platform, application, or transaction fees (or commissions) on product sales. Sellers are responsible for Stripe processing fees and any other fees charged by Stripe.

8.3 Taxes

Sellers are solely responsible for determining, collecting (if applicable), reporting, and remitting any taxes related to their sales (including sales tax, VAT, GST, and similar taxes), and for providing any required invoices or tax documentation. Buyers may be responsible for taxes depending on their location and applicable law. CopyCated does not calculate, collect, or remit taxes on behalf of sellers and does not provide tax advice; consult a tax professional for guidance.

8.4 Chargebacks and Disputes

In the event of a chargeback or payment dispute:

  • Sellers may be required to provide evidence of product delivery
  • Stripe may debit the seller's connected Stripe account and/or impose dispute-related fees according to Stripe's terms
  • Sellers are responsible for chargeback fees imposed by payment processors

9. GitHub Integration

9.1 GitHub OAuth

The Service integrates with GitHub via OAuth for repository access management. By connecting your GitHub account:

  • You authorize CopyCated to send repository invitations on your behalf
  • You grant us the necessary permissions to manage repository access
  • You agree to GitHub's terms of service

9.2 Repository Access Management

CopyCated automates repository invitations for purchased products. However, we are not responsible for:

  • GitHub service outages or limitations
  • Failed invitation deliveries due to GitHub issues
  • Repository availability or seller compliance

10. Termination

10.1 Termination by You

You may close your account at any time through your account settings. Upon account closure:

  • Your store and product listings will be removed
  • Your subscription will be canceled (no refunds for unused subscription time)
  • You will retain access to previously purchased repositories
  • Any payouts are handled by Stripe according to the seller's payout settings and schedule

10.2 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your account poses a security risk
  • Required by law or legal process

10.3 Effect of Termination

Upon termination:

  • Your access to the Service will be revoked
  • Active listings will be removed
  • Purchase history and transaction records may be retained for legal purposes
  • These Terms will continue to apply to past transactions

11. Disclaimers

11.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 No Guarantees

We do not guarantee that:

  • The Service will be uninterrupted, secure, or error-free
  • Repository listings are accurate or complete
  • Sellers will fulfill their obligations
  • Buyers will receive the expected value from purchases

11.3 Third-Party Services

We are not responsible for the performance, availability, or actions of third-party services including GitHub, Stripe, or Stack Auth.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COPYCATED AND SMOOTH CALC LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Unauthorized access to or alteration of your data
  • Any conduct or content of third parties on the Service
  • Any repository content or quality issues
  • Payment processing errors or disputes

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE PAST SIX MONTHS.

13. Indemnification

You agree to indemnify, defend, and hold harmless CopyCated, Smooth Calc LLC, and our officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Content you list or sell on the platform

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the state where Smooth Calc LLC is registered, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law. You waive any right to participate in class action lawsuits or class-wide arbitration.

16. Changes to Terms

We may modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify you via email or through the Service
  • Provide you with an opportunity to review the changes

Continued use of the Service after changes constitutes acceptance of the updated Terms.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CopyCated regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17.4 Assignment

You may not assign or transfer these Terms without our consent. We may assign these Terms without restriction.
